SENATE BILL 118 (FARR – 1963)

The Commercial Code in California was established in 1963, consolidating and revising established laws relating to commercial transactions, in 1963 following legislative passage of Senate Bill 118.  (See Exhibit A, #1c)  Senate Bill 118 served as the vehicle for enacting the Uniform Commercial Code in California as well as amending various sections of the Civil Code, Code of Civil Procedure, Corporations Code, Financial Code and Vehicle Code, to make them consistent with the proposed Uniform Commercial Code.  (Id., page 2)  The adoption of the Uniform Commercial Code had been considered by the California Legislature for many years before it was finally enacted in 1963.  (See Exhibit A, #6, document PE-1; see generally, Exhibit B) 

Senate Bill 118 was introduced by Senator Fred S. Farr on January 16, 1963.  (See Exhibit A, #1a)  According to the documents, the measure was introduced on behalf of the California Commission on Uniform State Laws and the California State Bar.  (See Exhibit A, #6, document PE-3; and #7) 

Following its introduction, the measure was heard in the Senate Committee on Judiciary and the Senate Committee on Finance.  (See Exhibit A, #2 and #4)  In the Assembly, Senate Bill 118 was considered before the Committee on Judiciary and the Committee on Ways and Means.  (See Exhibit A, #2)  This bill was amended once in the Assembly as it was considered by the Legislature.  (See Exhibit A, #1b and #2)  Senate Bill 118 was approved by Governor Edmund G. Brown on June 8th, and was recorded by the Secretary of State on that day as Chapter 819 of the Statutes of 1963.  (See Exhibit A, #1c and #2)

A summary of Senate Bill 118 was provided by the Office of Legislative Counsel in their “Report on Senate Bill No. 118” which stated:

    Adopts the Commercial Code; adds, amends and repeals various sections, various codes.

    Adopts the Uniform Commercial Code with some changes.  Modifies and supplements the law of this State relating to sales of goods, negotiable instruments, banking transactions, letters of credit, documents of title to personal property, investment securities, and security interests in personal property.
